Sahana System Limited has approved a series of key corporate decisions at its Board of Directors meeting held on August 3, 2026, including a 1:5 bonus share issue, the relocation of its registered office within Ahmedabad, and the incorporation of a new semiconductor-focused subsidiary in India.

The company informed the National Stock Exchange (NSE) that the board approved the allotment of 17,67,421 fully paid-up bonus equity shares with a face value of ₹10 each. The bonus issue will be carried out in the ratio of one new equity share for every five existing fully paid-up equity shares held by eligible shareholders as of the record date, July 31, 2026.

Following the bonus allotment, Sahana System’s paid-up equity share capital will increase from 88,37,104 shares to 1,06,04,525 shares. In value terms, the paid-up share capital will rise from ₹8.84 crore to ₹10.60 crore. The company stated that the bonus shares will rank pari-passu with the existing equity shares and will be credited within the prescribed statutory timelines.

The board also approved the shifting of the company’s registered office from Maple Trade Centre, Thaltej, Ahmedabad, to Sahana House, near Zydus Hospital, Hebatpur Road, Thaltej, Ahmedabad, with effect from August 4, 2026. The relocation will remain within the local limits of Ahmedabad city.

In another strategic decision, the board approved the proposal to incorporate a wholly new subsidiary, proposed to be named “Sahana Semi-Conductors Limited” or such other name as may be approved by the relevant authorities.

According to the disclosure, the proposed subsidiary will operate in the electronics and information technology sector and will focus on the design and fabrication of semiconductors and semiconductor devices.

Sahana System plans to subscribe to up to 60% of the equity share capital of the proposed subsidiary through a cash investment. The initial subscription will comprise 6,000 equity shares of ₹10 each, amounting to ₹60,000. The remaining 40% is proposed to be subscribed by promoter Mr. Pratik Kakadia through an investment of ₹40,000, resulting in an initial paid-up capital of ₹1,00,000 for the subsidiary.

The company stated that the subsidiary is yet to be incorporated and will become a subsidiary of Sahana System upon completion of the incorporation process.
