Premier Energies Limited has announced that its Board of Directors has approved the acquisition of a 51 percent equity stake in Transcon Ind Limited for a total cash consideration of ₹500.3 crore. The decision was taken during the company’s board meeting held on October 23, 2025.

Under the agreement, Premier Energies will subscribe to 1,04,082 equity shares of Transcon Ind Limited at a price of ₹48,069 per share, each having a face value of ₹10. Upon completion of the transaction, Transcon Ind Limited will become a subsidiary of Premier Energies. The acquisition is expected to be finalized within 90 days, subject to completion of necessary preconditions.

Transcon Ind Limited, incorporated in August 2025, is engaged in the manufacturing and sale of power transformers. It is also acquiring a partnership firm that has been active in transformer production since 2003, with a strong market presence and proven profitability in Hyderabad.

The company stated that this strategic acquisition will diversify its operations into power transformer manufacturing and strengthen its position as a full-spectrum energy solutions provider. Premier Energies aims to leverage operational and market synergies between its existing solar module manufacturing business and the transformer segment to offer integrated energy solutions.
