Zen Technologies Limited has announced plans to acquire a 51.98% stake in Cognit Semantics Private Limited for ₹135.15 crore, strengthening its presence in defence technology, battlefield management systems and artificial intelligence (AI)-based military solutions.
The company said its board of directors has approved the investment in Cognit Semantics, a Bengaluru-based defence technology company specialising in battlefield management systems (BMS). Following the completion of the transaction, Cognit Semantics will become a subsidiary of Zen Technologies, with its existing founding team continuing to lead the business.
Zen Technologies Investment Structure
The proposed investment of ₹135.15 crore will be made through a combination of subscription to Cognit Semantics’ primary funding round and the acquisition of existing shares. Investor Ashish Kacholia and his associates will also participate in the primary funding round.
The transaction remains subject to customary closing conditions. Upon completion, Zen Technologies will hold a 51.98% stake in Cognit Semantics on a fully diluted basis.
Cognit Semantics Develops Battlefield Management Systems
Cognit Semantics develops indigenous battlefield management systems designed to digitally connect tanks, military vehicles and soldiers through a common operational picture. The technology enables commanders to access real-time battlefield information, share situational awareness and coordinate decisions based on information from multiple units.
The company’s battlefield management system is designed to provide military personnel with a shared view of operational conditions, including the positions of friendly forces and potential threats. The system aims to improve coordination, situational awareness and decision-making during military operations.
Cognit Semantics has participated in the Indian Army’s iDEX challenge to develop a battlefield management system for main battle tanks. The company has also received the Raksha Mantri’s Award for Innovation in 2022.
According to the company, the system has undergone field trials with the Indian Army. It has been developed in India in collaboration with end users, incorporating operational feedback during the development process.
Acquisition to Support Zen Technologies’ AI Strategy
The acquisition is aligned with Zen Technologies’ proposed AI platform, Samvid, which is intended to support shared battlefield awareness. Cognit Semantics’ battlefield management technology is expected to provide the command-and-control layer connecting tanks, military vehicles and soldiers.
The integration is also intended to complement Zen Technologies’ existing portfolio of defence solutions, including training simulators, counter-drone systems, drones and autonomous platforms.
By combining battlefield management capabilities with its existing defence technology portfolio, Zen Technologies aims to expand its integrated solutions for military training, surveillance, operational coordination and battlefield awareness.
Zen Technologies Management Commentary
Ashok Atluri, Chairman and Managing Director of Zen Technologies Limited, said the investment would support the development of indigenous battlefield management capabilities and strengthen the company’s efforts to provide technology solutions for the Indian Army.
He noted that Cognit Semantics had spent nearly five years progressing from selection under the iDEX challenge to field trials, with development carried out in collaboration with the Army. Zen Technologies expects the team’s experience and its own resources to support further research and development across the group.
Cognit Semantics to Continue Under Existing Leadership
Anuroop Iyengar, Founder and Chief Executive Officer of Cognit Semantics Private Limited, said the investment would provide additional capital to support the company’s defence technology development.
He highlighted the company’s work in large-scale data processing for Signals and Edge AI for Infantry, followed by the development of a next-generation Command and Control System through the iDEX programme.
Cognit Semantics intends to build on these capabilities by incorporating technologies such as artificial intelligence, robotics and drone systems into its battlefield management platform.
Zen Technologies Expands Defence Technology Portfolio
The proposed acquisition represents a strategic expansion of Zen Technologies’ defence technology portfolio into battlefield management and command-and-control systems. The addition of Cognit Semantics is expected to strengthen the company’s capabilities in connecting personnel, vehicles and operational information through integrated digital platforms.
The transaction will make Cognit Semantics a subsidiary of Zen Technologies once the required closing conditions are satisfied. Both companies intend to continue developing indigenous defence technologies for the Indian armed forces.
