The proposed joint venture company will be incorporated in the United Kingdom, subject to the required regulatory approvals. The partnership is aimed at developing and commercialising an artificial intelligence led financial advisory platform specifically designed for the UK financial services market.
According to the regulatory disclosure, the new entity will operate as a collaborative venture between the two companies with equal ownership. Intellect Design Arena Limited and Fintel PLC will each hold a 50 percent stake in the joint venture entity.
The governance structure of the joint venture will include a five member board of directors. Two directors will be nominated by Intellect Design Arena Limited and two by Fintel PLC, while the fifth member will serve as an independent director. Any future decisions related to additional share issuance or capital structure changes will be determined by the board of the joint venture company.
