Awfis Space Solutions Limited (Awfis), a leading provider of flexible workspace solutions in India, has announced the signing of a Business Transfer Agreement with SMS Integrated Facility Services Private Limited (“SMS”) for the sale of its Facility Management division, Awfis Care, for Rs. 27.5 Crores. Maple Capital Advisors served as the exclusive advisor to Awfis for this transaction, which is anticipated to be finalized within 120 days.
SMS Integrated Facility Services (SMS IFS) Private Limited, part of Samara Capital, is a prominent integrated facilities management company in India. It oversees operations at over 5,000 sites for more than 500 clients across Tier 1, Tier 2, and Tier 3 cities and employs a workforce of over 21,000.
SMS IFS offers a comprehensive range of facilities management services, including soft services, technical and managed services, and sustainability consulting. Singhania & Co. provided legal counsel to Awfis for this deal.
Awfis will gain from SMS’s expertise in people management, digital operations, and cost optimization, reducing administrative overheads and improving efficiency. The sale will also enhance cash flow and working capital, offering greater financial flexibility for growth and boosting Return on Capital Employed (ROCE) for better returns to shareholders.
