Mahindra Lifespace Developers (MLDL) to Acquire 100% Stake in Mahindra Homes from Actis in ₹90 Crore Deal

Mahindra Lifespace Developers Limited (MLDL) has announced that it will acquire the entire stake held by Actis Mahi Holdings Singapore Private Limited in Mahindra Homes Private Limited (MHPL). Following this acquisition, MHPL will become a wholly owned subsidiary of MLDL.

The board of directors approved the proposal at its meeting on September 18, 2025, subject to shareholder approval. The transaction involves the purchase of equity shares and compulsorily convertible preference shares through a cash consideration of up to ₹90 crore.

Before this deal, MLDL held 74.35% of MHPL, while Actis owned 25.65%. After completion, MLDL will hold 100% ownership in the company.

Established in June 2010, MHPL focuses on residential real estate projects. The company has completed Windchimes in Bengaluru and is developing the final phase of Luminare – Phase 3 in Gurgaon. Its turnover stood at ₹8.81 crore in FY 2022–23, ₹6.56 crore in FY 2023–24, and nil in FY 2024–25.

The company confirmed that no immediate regulatory approvals are required for the transaction. The acquisition is expected to be completed within three months of executing the share purchase agreement, subject to necessary approvals and conditions.
