FCS Software Solutions Limited (“Company”) has increased its ownership stake in Bloom Healthcare and Hospitality Management Private Limited (“Bloom”) to 54.94% by converting 79,66,138 0.1% Non-Cumulative Compulsorily Convertible Preference Shares, valued at Rs. 10/- each, into 2,23,05,186 Equity Shares, valued at Rs. 10/- each at a premium of Rs. 15/- each. This conversion amounts to Rs. 25/- per share. As a result, the Company’s total shareholding in Bloom now stands at 71.01%.

Bloom Healthcare and Hospitality Management Private Limited (“Bloom”), a company incorporated in the Medical and Healthcare sector on February 12, 2008, has seen fluctuations in its turnover over the last three financial years. In the financial year 2020-21, its turnover was reported at Rs. 2,94,400/-. This figure decreased to Rs. 1,01,508/- in the following financial year 2021-22. However, in the most recent financial year 2022-23, Bloom’s turnover further declined to Rs. 91,793/-. Despite these fluctuations, Bloom maintains its presence solely in India.
