DSM Fresh Foods Limited has announced its entry into the high-growth ready-to-eat (RTE) and ready-to-cook (RTC) food segments after its board approved the acquisition of a majority stake in Avyom Foodtech Private Limited. The move marks a strategic expansion beyond fresh foods into value-added and processed food categories, while also strengthening the company’s presence in export-oriented markets.

Under the transaction, DSM Fresh Foods will acquire a 51 percent controlling stake in Avyom Foodtech through a cash infusion of approximately ₹7.5 crore via preferential allotment. The company may also evaluate the induction of strategic investors at the subsidiary level, subject to board approvals, to support long-term capital requirements and growth plans. The structure is intended to ensure alignment between management and investors while maintaining capital discipline.

As part of the overall arrangement, Avyom Foodtech is set to acquire the operating food processing business of Ambrozia Frozen Foods on a going-concern basis. The acquisition includes a fully operational food processing facility spread across about five acres, along with plant, machinery, and identified assets and liabilities. The business has demonstrated commercial scalability, having achieved peak annual revenues of around ₹16 crore in the past, and operates with FSSAI-approved processes and export-ready infrastructure.

The expansion into RTE and RTC categories is expected to accelerate DSM Fresh Foods’ transformation into an integrated food solutions company. By leveraging its existing strengths in sourcing, quality control, cold-chain logistics, and distribution, the company aims to scale value-added food offerings, improve operating efficiencies, and build a sustainable processed foods vertical aligned with its long-term growth strategy.
