Paramatrix Technologies Limited has announced that its Board of Directors has approved the complete acquisition of Metasys Software Private Limited, marking a key strategic expansion in its technology portfolio. The approval was granted during the board meeting held on 3 December 2025.
As part of the transaction, Paramatrix will acquire all 11,800 equity shares of Metasys, representing full ownership of the company. The deal, valued at Rs. 14.1 crore and structured entirely in cash, will be executed in three tranches over a one-year period, in line with the terms of the Share Purchase Agreement.
Metasys Software, incorporated in 1996, operates in the software services domain, providing custom application development across technologies including Microsoft .NET, FileMaker, iOS, PHP and React. The company serves clients across North America, Europe and South-East Asia, and has demonstrated financial consistency with turnover of Rs. 126.34 crore in FY 2024-25, Rs. 117.11 crore in FY 2023-24 and Rs. 125.75 crore in FY 2022-23. With an authorised share capital of Rs. 5 lakh and paid-up capital of Rs. 1.18 lakh, Metasys brings stable recurring business and a strong global client base.
Paramatrix stated that the acquisition will enhance its operational scale, expand its international presence and strengthen its recurring business pipeline by leveraging Metasys’s established client relationships and technical capabilities.
The company also confirmed that its trading window will remain closed for designated persons for 48 hours following the announcement, as per compliance requirements.
