Nazara Technologies Limited has completed the acquisition of Spain-based Bluetile Games S.L. and Bestplay Systems S.L. through its wholly owned subsidiary, Nazara Technologies UK Limited (Nazara UK). The company disclosed the development in a regulatory filing submitted to the BSE and the National Stock Exchange (NSE).
The acquisition has been completed under the amended Share Purchase Agreement (SPA) executed between Nazara Technologies, Bluetile Games S.L., Bestplay Systems S.L., the shareholders and founders of the target companies, and Nazara UK. The transaction follows the company’s earlier disclosures dated March 18, June 16 and August 3, 2026.
To facilitate the transaction, Nazara Technologies on August 3, 2026 subscribed to equity shares of Nazara UK worth USD 33.46 million (approximately ₹323.58 crore) and extended a shareholder loan of USD 5.74 million (approximately ₹548.70 crore), in compliance with applicable laws.
According to the latest filing, Nazara UK has paid a total consideration of USD 103.02 million (approximately ₹1,299 crore) to the sellers for the acquisition. Of this amount, USD 69.45 million (approximately ₹851.51 crore) has been paid in cash as the first tranche, while the balance consideration will be discharged in accordance with the terms of the amended Share Purchase Agreement.
Following the completion of the acquisition, Bluetile Games S.L. and Bestplay Systems S.L. have become wholly owned subsidiaries of Nazara UK and step-down subsidiaries of Nazara Technologies with effect from August 3, 2026. The company said it will provide an update on the payment of the remaining consideration in due course.
