Tata Power has announced that it has received a Letter of Intent (LOI) from REC Power Development and Consultancy Limited (RECPDCL), a wholly owned subsidiary of REC Limited, for the acquisition of Ryapte Power Transmission Limited, a Special Purpose Vehicle (SPV) established for the development of a power transmission project in Karnataka.
The disclosure was made under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Project Details
According to the company, the project will be developed on a Build-Own-Operate-Transfer (BOOT) basis and will provide transmission services for a period of 35 years from the Scheduled Commercial Operation Date (SCOD). The project is scheduled to achieve commercial operation within 30 months from the effective date of SPV transfer.
The transmission project involves the construction and commissioning of approximately 250 circuit kilometres (ckm) of transmission infrastructure, including 400 kV double-circuit lines, 220 kV double-circuit lines, and 220 kV underground cable systems in Karnataka.
The scope includes transmission connectivity between the proposed Ryapte and Doddathaggalli substations, along with links to existing substations at Ekarajapura, Hosakote, and Sarjapura.
Substation Infrastructure Included
As part of the project, Tata Power will also establish:
- A 5×500 MVA, 400/220 kV substation at Ryapte in Tumkur district along with 400 kV bus reactors.
- A 3×500 MVA, 400/220 kV GIS substation at Doddathaggalli near Hosakote along with associated 400 kV bus reactors.
The project is intended to strengthen transmission infrastructure and support power evacuation and grid reliability in the region.
Revenue Potential
Tata Power stated that the project has been awarded with annual transmission charges of ₹521.07 crore. The company will receive these charges over the concession period, subject to the terms of the transmission service agreement.
The company clarified that the contract has been awarded by a domestic entity and does not involve any related-party transactions.
Strategic Significance
The acquisition of Ryapte Power Transmission Limited is expected to further expand Tata Power’s transmission portfolio and strengthen its presence in India’s power transmission sector. The project aligns with ongoing investments in grid infrastructure aimed at supporting growing electricity demand and renewable energy integration across the country.
