Enviro Infra Engineers Limited (EIEL) has announced a strategic acquisition of Suyog Urja Limited through its wholly owned subsidiary, EIE Renewables Private Limited. The company has entered into a share purchase agreement to acquire 100% equity stake in the target entity in a phased manner.

Under the agreement, EIE Renewables Private Limited will acquire an initial 51% stake in Suyog Urja Limited, while the remaining 49% will be acquired over a period of 27 months. The total transaction value is estimated at approximately ₹311 crore and will be executed entirely through cash consideration.

The acquisition is expected to be completed on or before 31 July 2028.

The acquisition is aligned with Enviro Infra Engineers Limited’s strategy to strengthen its renewable energy vertical. By integrating Suyog Urja’s expertise in wind energy infrastructure, the company aims to enhance its project execution capabilities and diversify its energy portfolio.

The transaction is expected to:

Operational Capabilities and Project Portfolio

Suyog Urja Limited has a strong track record in executing large scale renewable projects. The company currently has an order book of approximately ₹645 crore and has delivered projects for leading industry players.

Its capabilities include land acquisition, infrastructure development, approvals, and project commissioning, making it a fully integrated renewable EPC service provider.

Management Continuity and Leadership

As part of the agreement, the existing promoter, Chetraj Narbahadur Khadka, will continue to be associated with the company for a minimum period of three years. He will provide strategic guidance and support operational continuity during the integration phase.

Regulatory Disclosure

Enviro Infra Engineers Limited confirmed that the acquisition is not a related party transaction and does not involve any promoter group interest. No regulatory approvals are required for the completion of the transaction.

Following the initial acquisition, Suyog Urja Limited has become a subsidiary of EIE Renewables Private Limited and a step down subsidiary of Enviro Infra Engineers Limited with effect from 28 April 2026.
